METALLIC MINERALS ANNOUNCES $6.3 MILLION STRATEGIC EQUITY INVESTMENT BY NEWCREST MINING
Metallic Minerals Corp. (TSX.V: MMG; OTCQB: MMNGF) (“Metallic Minerals” or the “Company”) is pleased to announce a strategic equity investment by a wholly-owned subsidiary of Newcrest Mining Limited (“Newcrest”) in the form of a non-brokered private placement, with the goal of advancing the Company’s La Plata copper-silver-gold-platinum group element alkalic porphyry project in Colorado, USA.

Pursuant to the private placement, Newcrest will complete a financing of $6.34 million, consisting of 15,838,593 units of Metallic Minerals at a price of $0.40 per unit, with each unit comprising one common share and 0.75 of a common share purchase warrant. This represents a 13% premium to the 20-day volume weighted average price of Metallic Minerals’ shares on the TSX-V on May 9, 2023. Each full warrant shall entitle Newcrest to purchase one common share at an exercise price of $0.55, providing $6.5 million in additional funding, if exercised. The warrants shall be exercisable for three years from the date of issue and contain a customary acceleration provision, which shall be effective if the common shares trade for a period of 20 consecutive trading days at or above $0.825 on the TSX-V.

Following closing of the investment, Newcrest will hold 9.5% of the issued and outstanding common shares of Metallic Minerals on a non-diluted basis and, including the warrants, 15.5% of the issued and outstanding common shares on a partially diluted basis.

Metallic Minerals CEO and Chairman, Greg Johnson, stated, “As an industry leader with extensive expertise in precious metals rich, alkalic porphyry systems, Newcrest was quick to recognize the geologic significance of the drill results from our 2022 campaign at La Plata. This funding will enable us to fast-track our planned expansion drilling to follow-up the success from 2022. In connection with the private placement, Metallic Minerals and Newcrest have entered into an investor rights agreement, pursuant to which Newcrest will be entitled to certain customary rights including participation in future equity issuances and a right to maintain its pro-rata position in the Company. Newcrest and the Company have also agreed to certain customary standstill and transfer restrictions.

In addition, a technical committee will be formed with representatives from Metallic and Newcrest, providing access to Newcrest’s substantial technical expertise in similar alkalic porphyry systems and underground bulk-tonnage, block-cave mining operations. Newcrest shall also have a right to appoint a director to Metallic Minerals’ board, upon exercise of the private placement warrants, if they hold at least 13% of the issued and outstanding shares of the Company.

Ximen Mining Corp CEO Christopher Anderson joined Steve Darling from Proactive to share news the company has made the decision to start underground mine exploration and development at the Brett Property near Vernon, B.C.

Anderson telling Proactive the company the work will include excavation of diamond drill stations in the existing drift, a 50 meter cross-cut from the exiting drift with a drill station, 200 meter drift parallel to the Main Zone, with stub drifts into the zone. The new mine development will provide access for underground drilling and explore the Main Zone to the northwest.

Good drill results propelled Western Alaska Mineral in 2022, said CEO Kit Marrs.

Marrs spoke to Kitco in November during the 2022 Precious Metal Summit Zurich.

Western Alaska Minerals (TSX-V: WAM.VN) is advancing its 100%-owned Illinois Creek Mining District, about 73,000 acres in size. The project contains targets originally discovered by Anaconda Minerals in the 1980s and was consolidated by the WAM management team over the past 10 years. The portfolio includes five, high-grade, evolving mineral projects containing gold, silver, copper, lead, and zinc. There is also a silver-rich carbonate replacement deposit (CRD) and a NI 43-101 oxide gold resource at the Illinois Creek deposit.

Through the spring and summer, the company reported 101.7 meters of massive sulfide replacement mineralization intersected in hole WPC22-18. Assay results yielded 337 g/t Ag, 16.7%Zn, 10.0% Pb over 11.5 m in hole WPC22-11.

Off the good drill results, the company traded to a high of $5.60 a share in August before settling back.

"In the exploration business, discovery is everything," said Marrs, highlighting a series of big intercepts. "[It] created a lot of excitement in the markets The stock ran up very quickly. The stock got a little ahead of itself, but we're very happy with that in a down year for most companies."

Montreal-based Dynacor Gold Mines (TSX:DNG), a dividend-paying industrial gold ore processor, has released its unaudited condensed interim consolidated financials and MD&A for the quarter ended March 31, 2022.
Gold sales for the quarter ended March 31, 2022 came in at US$50.1 million an increase of 22.5% over the US$40.9 reported for the quarter ended March 2021.

The company also reported record net income of US$5.1 million or $0.13 per share for the quarter, compared to net income of US$2.1 million or US$0.05 per share for the comparable quarter in 2021.
